Overseas entities

Overseas companies, which own real estate in UK, must register with Companies House. From 1 February 2023 the penalties are from £500 per day. To register a company, an anti-money laundering checks shall be carried out by an approved agent. The beneficial owner's name and address will be shown on the public register. Overseas companies are prohibited from transactions with their properties after 1 February 2023 it they are not registered with Companies House.

If you do not need your offshore anymore and are happy to get rid of it, you may avoid penalties by transferring all properties to your personal individual private name. However, as there is a prohibition to transfer, you need to get a certificate from a solicitor that the offshore is being dissolved by an insolvency practitioner. We would be happy to assist you here.
